Item 8.01     Other Events.

On March 16, 2020, the Company issued a press release announcing that Carol DiBattiste has been nominated for election as a director at the Company’s 2020 annual meeting of stockholders, based on the recommendation of the Nominating and Corporate Governance Committee of the Board. A copy of the press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.

The Company, its directors and certain of its executive officers are participants in the solicitation of proxies from the Company’s shareholders in connection with the Company’s 2020 annual meeting of shareholders. The Company intends to file a definitive proxy statement and a WHITE proxy card with the SEC in connection with any such solicitation of proxies from the Company’s shareholders.
